1) PRIVATE PRIVATE CORPORATE INVESTMENT FUNDING

Criteria Checklist:

  • The minimum amount of “Private Project Investment funding” required, as it pertains to Larger International Projects, should have a cumulative projects development value minimum – talk to us about your required amount.
  • There must be project cash equity available, a minimum of five to ten percent (5% to 10%). Equity cash availability is presented first, before we entertain any project funding or discussions concerning funding. We cannot support project funding if there is no cash equity brought forward. Please note that bankable assets may be considered, but they must be monetized to cash value as stated; or available for us to arrange monetization.
  • Historically the EQUITY ratios have worked as follows, but are subject to change:
  • Equity cash funds of US$ 1 million fund up to US$ Five Hundred Million in project funding over the development to project completion draw down schedule – time element to be confirmed
  • Equity cash funds of US$5 million fund up to US$ one billion to US$ ten Billion in project development funding from project commencement to completion – time element restrictions to be confirmed
  • Equity cash funds of US$ Ten million fund approximately US$ Twenty Billion in project funding ad additional funds for continuance for the following years to project completion, of course there are terms and conditions that apply
  • The multiple ratio of equity to funding availability varies and must address several factors, but a general consensus always has terms and conditions in project type, revenue produced infrastructure support, and many other concerns that are all part of the negotiating process.
  • The project(s) must be revenue producing and capable of offering a Return on Investment, and repayment of the original project costs over extended time periods that may be negotiated.
  • Each opportunity is received for review, initial due diligence is carried out, and a specific reply is given.
    Please be attentive to the procedures outlined below and the associated administrative costs for our initial project review; then proceed to make application submission as outlined.

 

2) PARTNER SOLUTIONS FOR GOVERNMENT PROJECT FUNDING

Government loans are used for the general benefit of its citizens, usually supported with the issue of financial guarantees or letters of credit for repayment of the funds borrowed. The suppliers, contractors and service related companies involved in the work on the projects where placement of our “Government Project Investment Funds” are being used, are required to work under a Code of Ethics outlined under the corporate governance area of this website This policy and procedures format is monitored through independent supervisory management teams that work with AQ Capital Limited. to monitor progress for release of funding to achieved milestones of project progression.

PROCEDURES

  • There must be project cash equity or equivalent bankable asset value available, a minimum of ten to twenty percent (10% to 35%) is asked, however, this may be flexible depending on total funds requirement amount. Equity value availability is presented first, before we entertain any project funding or discussions concerning funding. We cannot support project funding if there is no equity brought forward.
  • Please note that bankable assets that may be considered must be monetized to cash value, or available for us to arrange monetization.
  • The project(s) must be revenue producing and capable of offering a Return on Investment and repayment of the original project costs over extended time periods that may be negotiated. We can accept repayment time periods from five to thirty years, all depends on the individual project or list of projects. We mention this time period specifically understanding that infrastructure projects require long repayment periods.
  • Each opportunity is received for review, initial due diligence is carried out, and a specific reply is given. Please be attentive to the procedures outlined below and the associated administrative costs for our initial project review; then proceed to make application submission as outlined.

PROCEDURE ALL STEPS

There are specific steps that need to take place in order for us to evaluate any application submitted. We take our business very seriously to make the funds available and expect that a business relationship is developing at all stages of the process. We provided draft documents under the Applications and Forms area of the website specifically for Government related applications. A password may be required to access the draft documents.

  1. Step One: Contact us to discuss your intent and we will provide a password in writing (email) after initial verifiable confirmation of who is making contact and request.
  2. Step Two: We require a specific written “Letter of Request” outlining the details of intent to include attachments of information concerning the request
  3. Step Three: AQ Capital Limited. will reply to your “Letter of Request” concerning applicable fee structure mutually acceptable between parties.
    Follow Through in the step by step process will involve: a) organizing with the client the format of presentation to structure the project funding, b) assistance and the preparation of all appropriate documentation for submission for equity participation confirmation and verification, c) cash funds or bankable assets assistance for monetization of assets, and d) required initial due diligence in order for application to be accepted.
  4. Step Four: Satisfactory initial business communication continues to take place and discussion under mutual optimism is achieved for all to realize the continuation of a working relationship. Fee agreements are signed and the initial administration fees are to be received by AQ Capital Limited, Then all begins to move forward to format and organize all documentation for the project funding acceptance process.
  5. Step Five: Initial acceptance or rejection of the application made.
    a) Acceptance results in an invitation to further finalize and discuss the project funding structure and continuance procedures. Each application is evaluated on its own merit. Particular circumstances for each client are taken into consideration in outlining the tenure of the agenda for the resulting meetings. These meetings outline the structuring of the project list funding and contractually obligate the parties under the structure designed and discussed.
    b) Rejection is possible when the funds presented for equity are not traceable as to origin and/or they carry a suspicious history that is not acceptable. Other reasons of rejection could be the activity background of the individuals behind the application, their corporate directors or other involved persons. In most cases we are told why the rejection was made, but our pre-screening and Initial due diligence under administrative undertakings usually prevents a rejection from occurring.
  6. Final Step: AQ Capital Limited, makes introduction to involve arrangements by legal counsel for the project funds.

Does this mean that funding cannot be attained if the partner’s part of business is not registered? No, only those if you are a registered partner, there are defined advantages under a structure of recommendation to projects.

Recommendation of How the Government should partner with the Private Sector

It needs to be realized that for any Government or Sovereign entity, whether that be the Ministry of Finance or any other Government sector party to be involved, they MUST choose to partner with the Private Sector under a PRIVATE Joint Venture arrangement.

A Government or Sovereign entity by itself is NOT ELIGIBLE under this “Cash Only” project funding structure, however, they may be a shareholder under a totally “PRIVATE JOINT VENTURE” corporation. The reason for this requirement regarding the funds is that they must be freely available, under a single signature, on the account and deemed as equity funds, earned or placed by their shareholders. Sovereign funds are understood to be OWNED by the citizens or the nation and therefore no ONE person can sign or obligate them directly under this project funding arrangement.

There are several different ways that the Government and the Private sector can work together to bring the needed funds forward. In this discussion paper we will suggest a structure that can work effectively and still meet the criteria for the “Cash Only” funding.

The private Joint Venture entity would submit all the documentation required to apply for the funding. This need NOT be AQ Capital Limited, as the Government partner, it can be any “private corporate” arrangement from within the country, that is joined with the Government as a partner. Under this arrangement the choice of individual who is chosen as Director and signatory, can be a known and trusted person who can make appropriate representation on behalf of the Private Joint Venture.

STEP BY STEP EXPLANATION:

1) The Ministry and the chosen Private entity form a separate private corporation; let’s call it “NEWCO”. The corporate structure of NEWCO, registered within the country of participation, would have at least two classes of shares:

a.) Voting Class “A” shares and
b.) Non-voting Class “B” shares

2.) The Government purchases the Non-voting shares of NEWCO for $XXX Million, as shareholder EQUITY in the NEWCO – Government is now a participating partner. It is important that the Government entity purchases non-voting shares, not voting shares; these are owned only by the Private sector.
NOTE: When the Government entity purchases shares, they may provide a major world bank confirmed Sovereign Guarantee that is placed forward for monetization, hence meeting the “cash only” criteria.

3.) Along with the purchase of the EQUITY shares the Government would protect their equity interest at all times, therefore there would be preset agreements between the NEWCO and the Government, this agreement could be suggested as one or any combination of the following:
a.) NEWCO, by prior agreement, may re-purchase the non-voting shares back from the Government at a pre-set price and trade profit – NEWCO Board decision (E.g: $XXX Million plus a $XX Million profit)
b.) NEWCO could offer to sell only a portion of the non-voting shares, so the Government entity retains a shareholding in NEWCO on an ongoing basis, again at a preset price with trade profit (or not) – NEWCO Board decision.
c.) The contract structure is such that the Government provides the paid-in, non-voting, share purchase amount; this amount then goes into the required custodial account of NEWCO at the designated bank.
NEWCO may issue the Non-voting shares, with additional default protection conditions, even more protective than the above options.

A default clause under the purchase of the non-voting shares agreement, mutually agrees that if NEWCO does not meet the share

Buyback provision, then Private sector partners forfeits NEWCO, and all voting shares.
If this default takes place, the non-voting shares automatically entitle the Government entity to become the sole owner of NEWCO, still a private corporation, and take legal possession and control of all NEWCO business, liabilities and assets, including NEWCO signatory to the NEWCO Custodial Account at the bank. This private condition on the purchase of the shares and their repurchase safeguard the non-voting shareholder.

4.) NEWCO has to have a purpose as a company – it can be the central “overseer” of the project funds coming in and going out – as in a funds distribution corporation, set to fund a variety of projects, pay a set annual return to the Government as shareholder, and continue existence until the projects are all completely funded – then, when the funds stop coming, after everything is funded, NEWCO collects payments from the projects.

NEWCO need not only provide large project loans to the designate project funds, as part of the submitted list. A general small business loan project listing may also include that they become a provider of loans to small businesses, if this is included in the “list of projects”, not individually, but as an overall amount designated. This will provide funds to small businesses, to lease or purchase equipment, to develop the small individual mining interests, food processing businesses, education endeavors’, etc.

5.) The projects pay NEWCO from the revenues they earn – NEWCO sets the terms and conditions – the terms and conditions will not be known until the funding contract is issued, but they will be very favorable. In NEWCO, with the Government being a partner together with the private sector, they can determine, between themselves, what to do with the profits gathered as the money comes in.

6.) The NEWCO will have to submit all the paperwork documents AQ Capital Limited, requires therefore the NEWCO must be set up before any document submission is made – we will guide you as to how this would work best.
